How to Register a Business in Jamaica from Overseas

The Jamaican diaspora is one of the most entrepreneurial communities in the world. Whether you're looking to invest in your homeland, start a remote business, or expand an existing operation, registering a business in Jamaica from overseas is entirely possible — and more straightforward than many people expect. Here's how it works.

Choose Your Business Structure

The first decision is what type of business entity you want to register. The most common options in Jamaica are a sole proprietorship (simplest, for individuals operating alone), a partnership (for two or more individuals), and a limited liability company (the most common structure for serious business operations, offering legal separation between the business and its owners).

For most overseas investors and entrepreneurs, a private limited company is the recommended structure — it limits personal liability and is the most recognized form for commercial purposes.

Register Your Business Name

All businesses operating in Jamaica must register their business name with the Companies Office of Jamaica (COJ). For sole proprietorships and partnerships, this is done through a Business Name Registration. For limited companies, the name is registered as part of the company incorporation process. The COJ allows online searches to check whether your desired name is available.

Incorporate a Limited Company

To incorporate a limited company in Jamaica, you need to file the Articles of Incorporation with the COJ, along with the required supporting documents. These include details of the directors and shareholders, the registered office address in Jamaica, and the share structure of the company. A Jamaican attorney or registered agent can handle this process on your behalf if you are overseas.

Obtain a Taxpayer Registration Number (TRN)

Every business operating in Jamaica must have a Taxpayer Registration Number (TRN) issued by Tax Administration Jamaica (TAJ). This is required to pay taxes, open a business bank account, and enter into most commercial contracts. If you are overseas, your attorney or local representative can assist with obtaining a TRN on behalf of the business.

Register for GCT (General Consumption Tax)

If your business's annual turnover is expected to exceed the GCT registration threshold (currently J$10 million), you must register for General Consumption Tax — Jamaica's equivalent of VAT or sales tax — with Tax Administration Jamaica. Even if your turnover is below this threshold, voluntary registration is sometimes beneficial depending on your business model.

Open a Business Bank Account

Once your company is incorporated and you have a TRN, you can open a business bank account in Jamaica. Most major Jamaican banks — National Commercial Bank, Scotiabank Jamaica, and others — offer business accounts. Be aware that banks in Jamaica have robust Know Your Customer (KYC) requirements, so you will need to provide certified identification documents, proof of address, and company incorporation documents.

Do I Need a Local Director or Registered Agent?

Jamaica does not legally require a local director for a private limited company. However, having a local representative — whether an attorney, accountant, or business agent — is practically very useful for managing filings, liaising with government agencies, and maintaining the company's statutory records on the ground.
